Please read these Terms carefully before using ProDesk AI. By accessing or using any ProDesk AI service, you agree to be bound by these Terms. If you do not agree, do not use our services.
1 About ProDesk AI
ProDesk AI ("we," "us," or "our") is a software-as-a-service platform based in British Columbia, Canada. We provide AI-powered productivity tools for real estate professionals and homeowners, including:
- ProDesk AI for Property Managers — tenant communication, compliance documents, and AI phone reception
- ProDesk AI for Realtors — lead capture, showing management, and AI phone reception
- AI Front Desk Receptionist — customizable AI reception for any business (coming soon)
- ProDesk AI Connect Dispatch — 24/7 emergency contractor dispatch network
2 Eligibility & Account Registration
You must be at least 18 years of age and legally able to enter contracts in your jurisdiction to use ProDesk AI. By registering, you represent that all information you provide is accurate and current. You are responsible for maintaining the confidentiality of your account credentials.
3 Subscriptions & Payment
ProDesk AI features are offered on a monthly subscription basis. Fees are charged in USD and billed through Stripe. By subscribing, you authorize ProDesk AI to charge your payment method on a recurring monthly basis.
- Subscription fees are non-refundable except as stated in Section 4
- Prices may change with 30 days' written notice to your registered email
- Failed payments may result in suspension of your account
- No GST is currently collected as our annual BC revenue is below the $30,000 CAD registration threshold
4 Cancellation & Refunds
You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of the current billing period — you retain access until that date. We do not offer prorated refunds for partial months.
Exceptions: If a technical failure on our part prevents you from using a paid feature for more than 72 consecutive hours, you may request a prorated credit for that period by contacting support.
5 AI Phone Service & Call Recording
ProDesk AI's phone receptionist service (Clara) is powered by Twilio and Vapi.ai. By enabling this feature, you acknowledge and agree that:
- Calls may be recorded and transcribed for triage, quality assurance, and service improvement purposes
- You are responsible for notifying callers that they may be recorded, as required by applicable law (including BC's PIPA and federal PIPEDA)
- AI-generated call summaries are for informational purposes and may not be 100% accurate
- ProDesk AI is not liable for missed calls, technical outages, or inaccurate AI transcriptions
- The AI Phone Assistant operates within a 150-minute/month (PM) or 300-minute/month (Realtor) cap unless otherwise specified in your plan
6 ProDesk AI Connect Dispatch
The Dispatch service connects homeowners with independent, third-party contractors. ProDesk AI acts solely as a platform intermediary and is not a party to any contract between homeowners and contractors.
- ProDesk AI does not employ contractors and is not responsible for the quality, safety, or outcome of any work performed
- Contractors are independently verified for licensing and insurance, but verification does not constitute a guarantee
- A service commission is charged upon job completion — amounts are disclosed in the contractor registration agreement
- The Homeowner Protection Program is subject to its own terms and conditions disclosed at the time of dispatch
7 Acceptable Use
You agree not to use ProDesk AI to:
- Violate any applicable law or regulation
- Record calls without proper consent disclosures where required by law
- Transmit spam, fraudulent requests, or misleading information through the platform
- Reverse engineer, copy, or resell any part of the ProDesk AI platform
- Interfere with or disrupt ProDesk AI's servers, infrastructure, or other users
8 Intellectual Property
All software, design, branding, and content on the ProDesk AI platform — including the Clara AI persona — are the exclusive property of ProDesk AI. Nothing in these Terms grants you any rights to our intellectual property beyond the limited license to use the service during your subscription period.
9 Limitation of Liability
To the maximum extent permitted by applicable law, ProDesk AI and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising from your use of the platform.
Our total cumulative liability for any claim arising under these Terms shall not exceed the amount you paid to ProDesk AI in the three (3) months preceding the claim.
10 Disclaimer of Warranties
ProDesk AI is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or that AI-generated outputs will be accurate or complete.
11 Governing Law & Dispute Resolution
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of British Columbia, Canada. You waive any objection to the jurisdiction of such courts.
12 Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email at least 14 days before the changes take effect. Continued use of the platform after that date constitutes acceptance of the revised Terms.
